Terms of Service
These Terms of Service are provided as a starting template tailored to how Upskiller works today. They are not legal advice. Please have them reviewed by qualified legal counsel before you rely on them.
These Terms of Service (the “Terms”) govern your access to and use of the website at upskiller.tech and the related career-development services (the “Service”) provided by Upskiller, Inc. (“Upskiller”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Your account
You sign in to the Service using Google Sign-In. You are responsible for the activity that happens under your account and for keeping your Google credentials secure. You agree to provide accurate information and to keep it up to date. Notify us promptly at privacy@upskiller.tech if you suspect any unauthorized use of your account.
3. The Service
Upskiller helps you manage your professional profile and prepare for career moves. Features include parsing your CV or importing your LinkedIn profile, evaluating job positions, generating cover letters, suggesting interview questions, and creating preparation plans. We may add, change, or discontinue features at any time.
4. AI-generated content and no professional advice
Many features use artificial intelligence to generate content and recommendations. AI output is generated automatically, may be inaccurate, incomplete, or out of date, and is provided for informational purposes only. It does not constitute legal, financial, career, or employment advice, and we do not guarantee any particular outcome — including interviews, job offers, or salary results. You are responsible for reviewing and verifying any AI output before relying on it.
5. Acceptable use
You agree not to:
- use the Service for any unlawful, fraudulent, or infringing purpose;
- upload personal data about other people without the legal right to do so, or submit content that violates the rights of others;
- attempt to reverse engineer, decompile, scrape, or gain unauthorized access to the Service or its underlying systems;
- introduce malware, or interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure;
- resell, sublicense, or commercially exploit the Service without our written consent; or
- misuse the AI features to generate misleading, deceptive, or harmful content.
6. Your content
You retain ownership of the content you upload or create through the Service, such as your CV, profile data, and generated documents (“Your Content”). You grant Upskiller a worldwide, non-exclusive license to host, store, process, and transmit Your Content as necessary to operate and provide the Service — including sending it to our AI and infrastructure providers as described in our Privacy Policy. You represent that you have the rights necessary to grant this license.
7. Intellectual property
The Service, including its software, design, text, and trademarks, is owned by Upskiller or its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you in these Terms, we reserve all rights in the Service. You may not use our name or logo without our prior written permission.
8. Subscriptions, billing, and payments
The Service offers a free tier and one or more paid subscription plans. Paid plans are billed through our payment processor, Stripe, on a recurring basis (for example, monthly or annually) according to the plan you select.
- Auto-renewal — paid subscriptions renew automatically at the end of each billing period until you cancel.
- Cancellation — you may cancel at any time. Cancellation takes effect at the end of the current billing period, and you retain access until then.
- Refunds — except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods.
- Price changes — we may change our prices; we will give you reasonable notice before a change applies to your subscription.
- Taxes — fees are exclusive of taxes, which you are responsible for where applicable.
9. Third-party services
The Service relies on third parties — including Google (authentication and AI), our LinkedIn data provider, and Stripe (payments) — and may link to third-party websites such as job postings. We are not responsible for third-party services, and your use of them may be subject to their own terms and privacy policies.
10. Disclaimer of warranties
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any content or AI output will be accurate or reliable.
11. Limitation of liability
To the maximum extent permitted by law, Upskiller and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or USD 100. Some jurisdictions do not allow these limitations, so they may not fully apply to you.
12. Indemnification
You agree to indemnify and hold harmless Upskiller from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your breach of these Terms.
13. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if we reasonably believe your use poses a risk to the Service or others. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Before bringing a formal claim, you agree to first contact us at privacy@upskiller.tech so we can try to resolve the matter informally. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, United States.
15. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will revise the “Last updated” date above and, where appropriate, notify you through the Service. Your continued use of the Service after an update means you accept the revised Terms.
16. Miscellaneous
These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and Upskiller regarding the Service. If any provision is found unenforceable, the remaining provisions will stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
